Governing usage of website, digital platforms, internet & mobile trading services of Pubali Bank Securities Limited
These terms and conditions outline the rules and regulations for the use of the website, digital platforms, internet & mobile trading services of Pubali Bank Securities Limited (PBSL). Before accessing the platforms of PBSL, users must accept and follow these terms and conditions.
1. Definition
"PBSL" means Pubali Bank Securities Limited, having its Head Office at Ansar Chamber (7th floor), 149 Motijheel Commercial Area, Dhaka-1000, Bangladesh, and its branches in Bangladesh.
"BSEC" means Bangladesh Securities and Exchange Commission.
"Service" means Services of Pubali Bank Securities Limited available for its customers.
"Customer" means the Account Holder or his authorized agent.
"User" means the authorized and registered user of the Services of PBSL.
"Account(s)" means BO account(s) of the Customer with Pubali Bank Securities Limited, operable through its branches in Bangladesh.
"Account Holder" means a person who has entered into a contract with Pubali Bank Securities Limited and has an Account in his/her own name or a Joint Account for transactions of shares through his/her BO account.
"User ID" means the Customer's Identification Code (alpha-numeric) supplied to the Customer by the Service Provider for accessing the Digital Service.
"Password" means the alpha-numeric identification number for accessing the Digital Services.
"Terms" means these terms and conditions for accessing the Digital Services as amended from time to time.
2. Customer's Responsibility
- It is the client's responsibility to ensure that the password/user ID provided for the purpose of using the facility is not disclosed to any person, including employees of Pubali Bank Securities Limited ("the Stock Broker"), and not to permit any person to carry out trading activities using the password/user ID. Once a password/user ID is given to the Customer by the Stock Broker, it is the Customer's sole responsibility to ensure its secrecy at all times, save and except where a common user ID has been allocated by the Broker, subject to a Declaration by the Parties.
- The Client is aware that the Stock Broker generates the Trading Login ID and Password, which are sent to the Client's registered email. The initial Password sent by the Stock Broker can be used only for the first login. The Client agrees and undertakes to immediately reset his/her Password through the Mobile/Internet Trading Software. At no point shall the Stock Broker be liable for any loss, notional or actual, suffered by the Client on account of misuse of the Password, as the Stock Broker is not privy to the Password once reset.
- The Client shall immediately notify the Stock Broker in writing if he forgets his password, discovers a security flaw in the trading system, or discovers/suspects discrepancies or unauthorized access through his username/password/account, with full details of such unauthorized use, the date, the manner, and the transactions effected pursuant to such unauthorized use.
3. Risk in Mobile and Internet Trading
- The Client is fully aware of and understands the risks associated with availing a service for routing orders over the internet through mobile devices, PCs, and other wireless-technology devices, and shall be fully liable and responsible for any and all acts done using the Client's Username/Password in any manner whatsoever.
- The Client shall be solely responsible for all orders entered and transactions done by any person using the Client's Username and/or Password, whether or not such person was authorized to do so. The Broker shall not be liable for any loss, financial or otherwise, accruing due to unauthorized usage of the facility.
- The Client is aware that trading over the internet involves many uncertain factors, and complex hardware, software, systems, communication lines, and peripherals are susceptible to interruptions and dislocations. PBSL and the Stock Exchange do not represent or warrant that the online trading Service will be available at all times without interruption.
4. Trading of Securities
4.1 Purchase of Securities
- To process orders to purchase securities, the Client's account must contain sufficient funds before execution of the order.
- The Client is responsible for all of his orders, including any that exceed the available limit in his account.
- If funds are not available and an order is processed, the Client must credit the required funds by cheque or cash promptly. If payment is not received within the day of the transaction, the Client will be liable for any resulting losses and all associated costs incurred by PBSL.
4.2 Sale of Securities
- To process orders to sell securities, customer accounts must contain sufficient securities prior to acceptance of a sell order; the Customer must not submit a sell order if there are no or insufficient securities in the account.
- If the Customer submits/executes any sell/buy order through the mobile/internet trading system, he must not also instruct an Authorized Representative to place/execute a sell/buy order through the Chittagong Stock Exchange Limited for the same.
- If the Customer violates clauses 4.1.1, 4.2.1, or 4.2.2, and any short sale is executed through the online system, the Customer shall be responsible for orders exceeding available stock positions and liable to bear all losses, expenses, damages, and costs arising from violation of these Terms and Conditions.
5. Service Charges
- The Customer shall pay Mobile/Internet Trading Service fees and charges (including any cancellation or termination charges) applicable from time to time and in accordance with the level of service accepted by the Customer.
- PBSL is irrevocably authorized to debit amounts payable by the Customer for these services directly from the Customer's account and remit them to the Stock Exchange from time to time.
6. Exclusion of Liability
PBSL will not be responsible or liable for:
- Any indirect or consequential losses, economic loss, or loss of profit or business incurred in connection with the services, notwithstanding PBSL's awareness of the possibility of such loss;
- Any loss in connection with unforeseeable acts, omissions, or negligent acts by service providers or employees of PBSL;
- Any losses suffered due to: (i) shutdown or delay in availability of the Mobile Service Provider and/or Website/application; (ii) routines (including hacking) affecting any Website, application, Service, or System Materials, or any viruses, Trojan horses, worms, logic bombs, or similar programs; or (iii) incomplete messaging;
- Any loss suffered by the Customer where the Service is interrupted or unavailable due to (a) industrial action, (b) failure of any of the Customer's facilities, or (c) any other circumstances not reasonably within PBSL's control, including force majeure, error, interruption, delay or non-availability of the System, terrorist or enemy action, equipment failure, loss of power, adverse weather or atmospheric conditions, and failure of any public or private telecommunications system.
7. Indemnity
- The Client agrees to indemnify, defend, and hold harmless Pubali Bank Securities Limited, its officers, directors, and employees from and against all losses, expenses, damages, and costs arising from any violation of these Terms and Conditions or any activity related to the Client's business transactions, whether by the Client or any person accessing the Client's account.
- PBSL shall not be liable for any unauthorized transactions occurring through Mobile/Internet Trading, and the Customer fully indemnifies and holds PBSL harmless against any action, suit, or proceeding initiated against it, or any loss, cost, or damage incurred as a result.
8. Amendments
- The Broker reserves the right to change or revise these Terms and Conditions by updating this posting, and all such changes/revisions shall form part of the Terms and Conditions.
- PBSL may amend or change this agreement at any time. If a change adversely affects the Customer, PBSL will give the Customer notice prior to the effective date of the amendment.
9. Termination
- The User may request termination of the Mobile/Internet Trading Services at any time by giving written notice to PBSL. Termination shall take effect at the end of the period of service for which the Customer has already paid.
- PBSL may, at its own discretion, cancel or discontinue the facility without notice to the Client if PBSL has reason to believe there has been a breach of these Terms and Conditions.
10. Intellectual Property Rights
- The User acknowledges that the software or application underlying the Mobile/Internet Trading System, as well as other internet-related software/applications required for accessing the Service, are the legal property of the respective vendors.
- The Customer shall not duplicate, reproduce, or in any way tamper with the System and associated documentation.
- The User shall not attempt to modify, translate, disassemble, decompile, or reverse engineer the software and associated documentation underlying the Mobile/Internet Trading System, or create any derivative product based on the software.
11. Disclosure
- The Customer agrees that PBSL may hold and process his Personal Information and all other information concerning his Account(s) in connection with Mobile/Internet Trading, as well as for analysis and reports required by any regulatory body.
- The Customer also agrees that PBSL may disclose, in strict confidence, to other institutions such Personal Information as may be reasonably necessary, including for participation in any telecommunication or electronic clearing network, compliance with a legal directive for fraud-prevention purposes, or to regulatory bodies for their requirements.
12. Governing Law
- This agreement is subject to the provisions of all applicable operating circulars of the Bangladesh Securities and Exchange Commission, the Stock Exchanges, PBSL, and any other applicable provisions of the laws of Bangladesh.
- PBSL may, in its absolute discretion, commence any legal action or proceedings arising out of these Terms for Mobile/Internet Trading in any court, tribunal, or other appropriate forum, and the User hereby consents to that jurisdiction.
13. Acceptance
I/we have read and fully understood the terms and conditions governing the use of Mobile/Internet Trading Services through Pubali Bank Securities Limited, and I/we hereby accept them and will abide by them. I/we further confirm that we have independently verified the terms and conditions noted above.
14. Changes to the Terms & Conditions
Pubali Bank Securities Limited reserves the right to amend these terms and conditions at any time. By continuing to use the services, users/customers agree to be bound by the updated terms and conditions.
